Terms of service

Last updated: October 21, 2026
Effective: October 21, 2026

These terms apply to the revenue management services, website, client dashboard and related software provided by Airyield (“Airyield”, “we”, “us”) to the business that signs up for our services (“you”, “client”).

By signing an order form, accepting a proposal, or using our services, you agree to these terms. If you accept on behalf of a business, you confirm you are authorized to bind it. Our services are supplied for business purposes only.

1. Definitions

  • Agreement: these terms, your order form or proposal, our data processing agreement and any schedules. If they conflict, the order form prevails, then the data processing agreement (for personal information), then these terms.
  • Booking Revenue: the accommodation revenue (nightly rates) for stays at Managed Listings, as recorded in your PMS or pricing tool, after refunds and channel host fees, and excluding cleaning fees and taxes. Booking Revenue is counted in the month the stay checks out.
  • Client Data: data in or from your PriceLabs account (or other pricing tool account), PMS and other systems that you make available to us, including booking and guest information.
  • Dashboard: our online client dashboard and reports.
  • Managed Listings: the listings you nominate for our services, as updated from time to time under clause 4.
  • PMS: your property management system, for example Guesty, Hostaway, Hospitable, OwnerRez or Resly.
  • Services: the services described in clause 2 and your order form.
  • Software: our pricing analyzer, Dashboard, integrations and related tools.

2. Our services

2.1 What we do. For your Managed Listings, we will:

  • (a) manage pricing settings in your PriceLabs account (or another pricing tool we support), including base prices, minimum and maximum prices, minimum stays, discounts, seasonality and event adjustments
  • (b) run our Software each day to analyze listings against market data, including RevPAR index, ADR index, market penetration index, booking pace and booking window
  • (c) have a revenue manager review and approve every change before it goes live
  • (d) hold a weekly call with you
  • (e) provide a monthly performance review
  • (f) give you access to the Dashboard

2.2 What we do not do. Unless agreed in writing, we do not:

  • manage guest communications, listing content, photography, cleaning, maintenance, owner relationships, channel connections or PMS configuration
  • handle payments or trust accounts

2.3 Your control. You keep ownership and control of your PriceLabs account, PMS and listings. You can view or change any setting at any time. If you change pricing settings for a Managed Listing, please tell us so we can take it into account. We are not responsible for the results of changes you or others make.

2.4 Judgment. Pricing decisions involve judgment and incomplete information. We will provide the Services with due care and skill and in line with good industry practice. You acknowledge that we rely on data from third-party platforms, which may be incomplete, delayed or inaccurate.

2.5 Changes to the Services. We may improve or change the Software and how we deliver the Services, provided the changes do not materially reduce the Services you have paid for.

3. Access to your systems

3.1 You authorize us to access your PriceLabs account (or other pricing tool account) with read and write permissions and, if you choose to give it, your PMS with read permissions, solely to provide the Services.

3.2 You will grant access using methods the platform supports, such as adding us as a user, API keys or integrations. You will not ask us to use another person’s login credentials, and we do not use shared passwords.

3.3 You remain the account holder for your platforms and are responsible for complying with their terms. You confirm that your platform agreements allow you to give us this access.

3.4 You can revoke our access at any time. If you revoke access before termination, we cannot provide the Services, and fees continue to apply until the Agreement ends under clause 8.

3.5 We will:

  • use access only for the Services
  • limit it to personnel who need it
  • keep credentials secure
  • stop using it when the Agreement ends

4. Managed Listings

4.1 Your order form lists your Managed Listings at the start date.

4.2 You can add or remove listings by giving us notice by email. Additions take effect when we confirm onboarding. Removals take effect 7 days after notice.

4.3 If a listing is removed from your PMS or PriceLabs account, or stops being bookable, it stops being a Managed Listing from that date.

5. Your responsibilities

You will:

  • (a) give us accurate information about your listings, markets, owner restrictions, planned blocks, renovations and anything else that affects pricing
  • (b) keep your PMS calendar, listing details and blocks up to date
  • (c) tell us promptly about owner instructions, minimum price agreements or other limits on pricing
  • (d) attend scheduled calls or let us know in advance
  • (e) comply with laws that apply to your business, including short-term rental registration, planning, tax and consumer laws, and platform rules
  • (f) have the rights and consents needed for us to process Client Data, including giving guests and owners any privacy notices required by law
  • (g) pay fees on time

6. Fees and payment

6.1 Fees. You will pay 1.5% of Booking Revenue from Managed Listings each month, as set out in your order form. We invoice in US dollars, or Australian dollars for Australian clients. The fee is the same 1.5% in either currency. There is no minimum monthly fee and no setup or onboarding fee.

Our current published fees are on our Pricing page.

6.2 Calculation. We calculate fees from Booking Revenue for stays that checked out in the previous calendar month. You can see the calculation in the Dashboard. If you believe a calculation is wrong, tell us within 30 days of the invoice and we will review it in good faith.

6.3 Invoices and payment. We invoice monthly in arrears. Invoices are payable within 14 days by the payment method shown on the invoice.

6.4 Taxes. Fees exclude GST, VAT and similar taxes. For Australian clients, we add GST where applicable. For clients outside Australia, we add GST only where the law requires it, and you are responsible for any taxes you must account for in your own country.

6.5 Late payment. If an invoice is more than 14 days overdue, we may, after giving you 7 days’ written notice, suspend the Services until payment is made.

6.6 Fee changes. We may change our fees by giving you at least 30 days’ written notice. If you do not agree to the change, you may end the Agreement by notice before the change takes effect, without paying the new fee.

7. No guaranteed results

7.1 Short-term rental revenue depends on many factors outside our control. These include market demand, seasonality, events, competitor supply, platform algorithms, listing quality, reviews, guest experience, owner blocks, regulation, the economy and the weather.

7.2 We do not guarantee any level of revenue, occupancy, nightly rate, RevPAR, market index or improvement. Estimates, audits, case studies and forecasts we provide are based on information available at the time and are not promises of future results. If it isn’t working for you, you can end the Agreement under clause 8.2.

7.3 Nothing in this clause limits clause 11.1.

8. Term, notice and termination

8.1 No lock-in. The Agreement starts on the start date in your order form and continues month to month until ended under this clause.

8.2 Ending for convenience. Either party can end the Agreement for any reason by giving 30 days’ written notice. Fees apply to Booking Revenue for stays up to the end of the notice period. No fee applies to stays after the termination date, even if they were booked during the term.

8.3 Ending for breach. Either party can end the Agreement immediately by written notice if the other party:

  • (a) materially breaches it and does not fix the breach within 14 days of written notice
  • (b) becomes insolvent or enters any insolvency process, to the extent permitted by law

8.4 On termination:

  • (a) we will stop making changes in your PriceLabs account at the end of the notice period and leave your settings as they stand at that date, unless you ask us to revert specific settings during the notice period
  • (b) you should revoke our access, and we will stop using it in any case
  • (c) you will pay any outstanding fees
  • (d) Dashboard access ends 30 days after termination, during which you can export your reports
  • (e) we will delete or return Client Data as set out in the data processing agreement and our privacy policy

8.5 Clauses 6 (for fees owed), 9, 10, 11, 12, 13 and 16 survive termination.

9. Intellectual property

9.1 Ours. We own all rights in the Software, Dashboard, methods, models, templates, documentation and any improvements to them, including improvements developed while providing the Services. We grant you a non-exclusive, non-transferable right to use the Dashboard and reports during the Agreement for your internal business purposes.

9.2 Yours. You own your Client Data and your PriceLabs and PMS configurations. Pricing settings we make in your PriceLabs account during the Agreement remain in your account and you may keep using them after it ends.

9.3 Reports. You may keep and use the reports we provide to you for your internal business purposes and to share with your property owners.

9.4 Aggregated data. We may create aggregated, de-identified data from Client Data and other sources (for example market-level benchmarks) that does not identify you, your listings, your owners, your guests or any individual. We may use it to improve our Software and publish market insights.

9.5 Restrictions. You will not copy, reverse engineer, resell or provide third parties with access to the Software or Dashboard, except your staff and property owners viewing reports or dashboard views we provide.

9.6 Feedback. If you give us suggestions about our Services, we may use them without obligation to you.

10. Confidentiality

10.1 Each party will keep the other’s Confidential Information confidential and use it only for the Agreement. Confidential Information includes:

  • Client Data and your owner and financial information
  • our Software, methods and pricing
  • the terms of your order form

10.2 This does not apply to information that is public through no fault of the receiving party, was already known to it, or is independently developed. A party may disclose Confidential Information to its advisers and personnel who need to know it and are bound by confidentiality, or where required by law (giving notice where lawful).

10.3 Case studies. We will not publish your name, logo, results or any information identifying you or your listings without your prior written consent. With your consent, we may publish an anonymized case study, which you may review before publication.

11. Liability

11.1 Non-excludable rights. Nothing in the Agreement excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law or any other law, that cannot lawfully be excluded or limited. Where we are permitted to limit our liability for a breach of a non-excludable guarantee, our liability is limited, at our option, to supplying the Services again or paying the cost of having them supplied again.

11.2 Cap. Subject to clauses 11.1 and 11.4, each party’s total liability arising out of or in connection with the Agreement, whether in contract, tort (including negligence), statute or otherwise, is limited to the total fees paid or payable by you in the 12 months before the event giving rise to the liability.

11.3 Indirect loss. Subject to clauses 11.1 and 11.4, neither party is liable for:

  • indirect or consequential loss
  • loss of profit, revenue, bookings or opportunity
  • loss of data (except to the extent caused by our breach of our data security obligations)
  • loss arising from third-party platforms

11.4 Exceptions. The cap and exclusions do not apply to:

  • a party’s fraud or willful misconduct
  • your obligation to pay fees

11.5 Third-party platforms. We are not responsible for the availability, accuracy or performance of PriceLabs, your PMS, booking channels or market data providers, or for changes they make to their services, APIs or terms.

11.6 Mitigation and proportionate liability. Each party’s liability is reduced to the extent the other party, or anyone acting for it, caused or contributed to the loss. For example, a loss caused by settings you changed, calendar blocks not entered, or inaccurate information you gave us.

12. Indemnity

You indemnify us against third-party claims to the extent they arise from:

  • (a) your breach of platform terms or applicable law
  • (b) your lack of rights or consents to share Client Data with us
  • (c) disputes between you and your property owners or guests, except to the extent caused by our breach of the Agreement or negligence

13. Data protection

13.1 Each party will comply with privacy and data protection laws that apply to it.

13.2 When we process personal information in Client Data on your behalf, we act as your processor or service provider, and our data processing agreement applies. It forms part of the Agreement and covers:

  • processing instructions
  • security
  • subprocessors
  • international transfers (including Standard Contractual Clauses and the UK Addendum where required)
  • breach notification
  • assistance with individuals’ requests
  • deletion and return of data at the end of the Agreement
  • California service-provider terms where relevant

If there is a data breach affecting Client Data, we’ll notify affected clients and regulators as the law requires, including under Australia’s Notifiable Data Breaches scheme and the GDPR where it applies.

13.3 Our privacy policy explains how we handle personal information as a controller.

14. Website and Dashboard use

14.1 You must keep Dashboard login details secure, and you are responsible for activity under your users’ logins.

14.2 Content on our website, including guides, tools and market reports, is general information only. It is not tailored advice and should not be relied on without considering your own circumstances.

14.3 Free tools and audits are provided “as is”, without warranties, to the extent permitted by law.

15. Third-party names

PriceLabs, Airbnb, Booking.com, Vrbo, Guesty, Hostaway, Hospitable, OwnerRez, Resly and other product names belong to their owners. We use them only to describe the platforms we work with. Unless we state otherwise, we are not affiliated with or endorsed by these companies.

16. General

16.1 Governing law. The Agreement is governed by the laws of Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland and courts that can hear appeals from them.

16.2 Disputes. Before starting court proceedings (except for urgent relief), a party must give written notice of the dispute. Senior representatives must meet, in person or online, within 14 days to try to resolve it in good faith.

16.3 Changes to these terms. We may update these terms by giving you at least 30 days’ written notice. If a change is materially adverse to you, you may end the Agreement by notice before the change takes effect, and the previous terms will apply until then. Changes required by law may take effect sooner.

16.4 Notices. Notices must be in writing and sent by email to the addresses in your order form (for us, legal@airyield.co). A notice is received when sent, unless the sender receives an automated message that it was not delivered.

16.5 Assignment. Neither party may assign the Agreement without the other’s consent (not to be unreasonably withheld). We may assign it to a successor of our business on notice to you.

16.6 Subcontracting. We may use contractors and subprocessors to provide the Services. We remain responsible for their performance.

16.7 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including platform outages, internet failures, natural disasters, pandemics and government action, except for payment obligations.

16.8 Independent parties. Nothing in the Agreement creates a partnership, employment, agency or trust relationship, except that we act on your behalf in your PriceLabs account to the extent described in clause 3.

16.9 Entire agreement. The Agreement is the entire agreement between the parties about its subject matter.

16.10 Severability. If any part of the Agreement is invalid or unenforceable, it is read down or severed, and the rest continues.

16.11 Waiver. A failure to enforce a right is not a waiver.
